These terms govern your use of Sonar Sciences, a product of Friddy, Inc., 8 The Green, Suite A, Dover, DE 19901, USA. Plain-language summary: Sonar Sciences is a research and execution workspace, not an investment adviser; results are historical or simulated unless labeled live; you keep your strategy IP and your strategies are not shared with other users; the execution fee applies only to your own winning trades and the platform does not hold or transfer your funds; and you may not use the platform to mislead anyone.
Sonar Sciences is a product of Friddy, Inc., a Delaware corporation with its registered office at 8 The Green, Suite A, Dover, DE 19901, USA (Friddy, we, us). By creating an account or using sonar-sci.com and related services (the Service), you agree to these terms, which form an agreement between you and Friddy, Inc. You must be of legal age in your jurisdiction and legally permitted to use trading-related software there. The Service is not offered where prohibited by law.
Sonar Sciences provides a research workspace for building and testing rule-based trading strategies against historical market data, forward testing against live market data, execution of your own strategies to a broker account you connect, tiered access to Sonar's own models, and related data products. The Service does not currently offer any way to publish a strategy for other users to follow, to sell signals, or to receive money from other users. Features may change, and any feature may be modified or withdrawn while claims about it are verified.
Sonar Sciences is a software platform. It is not a broker, dealer, exchange, custodian, or investment adviser, does not provide personalized investment advice, and does not hold client funds for trading. Nothing on the Service, including recommendation streams, model results, and data products, constitutes investment advice, a solicitation, or a recommendation to trade any instrument. Strategy results are historical or simulated unless explicitly labeled live, and past performance, simulated or live, does not guarantee future results. Trading leveraged instruments involves substantial risk of loss. You alone are responsible for your trading decisions and for compliance with the laws that apply to you.
You are responsible for your credentials and for activity under your account. You agree to provide accurate information and to complete identity verification where the law requires it. We may suspend accounts that breach these terms, with notice where practicable.
Model access is offered in tiers: Free, Basic at $29 per month or $290 per year, Pro at $49 per month or $490 per year, and Premium at $149 per month or $1,490 per year. Yearly billing equals ten months of the monthly price, described on the Service as 2 months free. Paid subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time; cancellation takes effect at the end of the current period, and you keep access until then. Price changes will be notified in advance and apply from the next renewal. Prices exclude taxes where law requires them to be added. Refunds: statutory rights, including any applicable consumer withdrawal rights, are unaffected; beyond them, fees for elapsed billing periods are non-refundable except where required by law.
You retain all intellectual property in strategies you create. A strategy's composition, including any imported source, is never distributed to other users, published or not. The Service does not currently offer any way to publish a strategy for other people to follow, and no recommendation stream is routed to anybody but you. You grant Sonar Sciences the non-exclusive licence needed to run the Service: to compute, store, and display your strategy's results, and to execute its recommendation stream against broker accounts you connect. Strategies are versioned, and results remain associated with the version that produced them so the record stays auditable.
Where the Service executes a strategy to your connected broker account, the platform's fee applies only to your winning trades, at the rate shown before you arm execution, and is recorded in the platform ledger in integer minor units. The fee is charged on your own trading result; it is not a share of anybody else's trading, and no other user pays you. Sonar Sciences does not hold or transfer customer funds: your money stays with your broker. Amounts owed to the platform may be adjusted where required by law or where fraud is suspected. Nothing here is a promise of income.
You agree not to: misrepresent performance, identity, or affiliation; upload strategies you do not own; use the Service to violate market-abuse, securities, sanctions, or consumer-protection laws; scrape at abusive rates, reverse-engineer, or resell Service data outside its license; interfere with the Service's operation or security; or use the Service from a jurisdiction where it is not offered. We may remove content and terminate access for breach.
Market data on the Service is research data: consistent across the platform but not identical to any broker's prices, and provided without warranty of fitness for live trading decisions. Third-party services you connect, including broker accounts, are governed by their own terms; Sonar Sciences is not responsible for their performance or availability.
If you believe content on the Service infringes your intellectual property, notify us via the contact page with the material identified, your rights described, and your contact details. We review complaints promptly and remove or restore content as the law requires.
Features, limits, and availability may change without notice, and features described in forward-looking terms may not launch. We will not increase the fee rate on trades already executed. Refunds are governed by the Refund Policy, which forms part of these terms.
The Service is provided as-is and as-available, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that results will be accurate, uninterrupted, or error-free. Nothing in these terms excludes liability that cannot lawfully be excluded.
To the maximum extent permitted by law, Sonar Sciences's aggregate liability arising from the Service is limited to the amounts you paid to Sonar Sciences in the twelve months preceding the claim, and Sonar Sciences is not liable for indirect, consequential, or trading losses, loss of profits, or loss of data.
You will indemnify Sonar Sciences against third-party claims arising from your breach of these terms, your content, or your unlawful use of the Service, to the extent permitted by applicable consumer law.
You may close your account at any time; the integrity of your strategy's historical records survives closure as described in section 6. We may suspend or terminate access for breach, legal requirement, or discontinuation of the Service, with notice where practicable and pro-rata treatment of prepaid periods where the law requires it.
Governing law and venue will be specified in an update to these terms; mandatory consumer protections of your place of residence always prevail where applicable. Until then, raise any dispute first via the contact page; we aim to resolve complaints directly.
These terms are the entire agreement regarding the Service and supersede prior discussions. If a provision is unenforceable, the remainder stands. We may assign these terms as part of a reorganization or sale; you may not assign them without consent. A failure to enforce is not a waiver.
